These Terms and Conditions ("Terms") govern your access to and use of Cinar Cloud, including all related websites, applications, services, software, and tools (collectively, the "Services"), operated by Cinar Tech LLC ("Company," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Definitions
- "Customer": Any individual or entity that creates an account or uses the Services.
- "Account": A registered user account on Cinar Cloud.
- "Customer Content": Any data, workflows, files, configurations, or materials submitted or processed through the Services.
- "Support Credits": Prepaid or bundled units redeemable for technical support services.
- "Subscription": A recurring or usage-based payment plan for Services.
2. Acceptance of Terms
By creating an Account, clicking acceptance, or using the Services, you confirm that:
- You are at least 18 years old
- You have authority to bind your organization (if applicable)
- You agree to these Terms and all incorporated policies
3. Description of Services
Cinar Cloud provides cloud-based and managed services, which may include:
- Hosted automation and workflow tools
- Managed or self-hosted deployments
- Monitoring, integrations, and infrastructure tooling
- Tiered support plans and support credits
- Optional onboarding, consulting, and configuration services
Services may evolve over time, and features may be added, modified, or removed.
4. Account Registration & Responsibilities
You agree to:
- Provide accurate and complete information
- Maintain the security of your credentials
- Be fully responsible for activity under your Account
You are responsible for ensuring your systems, workflows, and configurations comply with applicable laws.
5. Subscriptions, Billing & Payments
- Fees are charged in advance unless otherwise stated
- Subscriptions renew automatically unless canceled
- Prices, billing cycles, and usage limits are described on the pricing page
- Failure to pay may result in suspension or termination
- All fees are non-refundable unless explicitly stated otherwise.
6. Support, SLAs & Support Credits
- Support is provided according to the selected support tier
- Support Credits may:
- Expire after a defined period
- Be non-transferable
- Not roll over unless explicitly stated
- No guaranteed response or resolution times unless covered by a written SLA
7. Acceptable Use Policy
You may not use the Services to:
- Violate laws or regulations
- Transmit malware or abuse infrastructure
- Interfere with or degrade system performance
- Perform unauthorized access or testing
- Host illegal, harmful, or infringing content
We reserve the right to suspend accounts violating this policy.
8. Data Ownership & Customer Content
- You retain ownership of Customer Content
- You grant us a limited license to process Customer Content solely to provide the Services
- You are responsible for backups unless otherwise stated
- For self-hosted deployments, you are solely responsible for security, availability, and compliance.
9. Third-Party Services & Open-Source Software
The Services may integrate with third-party tools or include open-source software.
We are not responsible for third-party services, outages, or changes.
Use of third-party services is governed by their own terms.
10. Intellectual Property
All platform software, branding, documentation, and materials are owned by Cinar Tech LLC or its licensors.
No rights are granted except as expressly stated.
11. Confidentiality
Each party agrees to protect confidential information disclosed during the use of the Services and not disclose it to third parties without authorization.
12. Service Availability & Modifications
- Services are provided on an "as available" basis
- We may modify, suspend, or discontinue any part of the Services
- Scheduled maintenance may result in temporary downtime
13. Termination & Suspension
We may suspend or terminate access:
- For violations of these Terms
- For non-payment
- To comply with legal obligations
Upon termination, access to Services and data may be removed.
14. Refund Policy
Unless otherwise stated:
- All fees are non-refundable
- Partial usage does not entitle refunds
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRIOR 12 MONTHS
17. Indemnification
You agree to indemnify and hold harmless Cinar Tech LLC from claims arising out of:
- Your use of the Services
- Your Customer Content
- Your violation of these Terms or applicable laws
18. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
19. Dispute Resolution & Arbitration
Any disputes shall be resolved through binding arbitration in California, except where prohibited by law.
20. Changes to Terms
We may update these Terms from time to time. Continued use after changes constitutes acceptance.
